Who these terms are between
These terms are a contract between AgencyStarter ("we", "us") and the business that opens an account ("you", "your agency"). AgencyStarter is a business-to-business service: by opening an account you confirm you are acting in the course of business, not as a consumer.

What we provide
AgencyStarter is a hosted platform for online agencies: a white-label client portal and agency console, tools for finding and calling prospective clients, and the hosting, backups and updates that keep it running. We host everything; you deploy nothing.
You bill your own clients yourself, on your own terms. Your clients are your customers, not ours, and nothing in these terms creates any relationship between us and them.
Plans, billing and cancellation
Paid plans are billed in advance, monthly or annually, in pounds sterling at the prices shown on our pricing page when you subscribe. If we change a price, the change applies from your next billing period, never mid-period, and we will tell you before it does.
The Free plan is free indefinitely: no card, no time limit. It includes a one-time grant of 50 lead credits when you join. Paid plans include the monthly credit allowances shown on the pricing page; unused monthly credits do not roll over. Credit packs bought separately do not expire.
You can cancel at any time from Settings → Subscription → Manage billing (Stripe's secure page), or by writing to us. Cancelling stops future charges; amounts already paid for the current period are not refunded, and your service continues to the end of what you have paid for. Downgrading never deletes your data — if you are over the smaller plan's limits, what exists stays and you simply cannot add more.
Promotional codes are one use per account, have no cash value, and we may withdraw unused codes at any time.
Lead credits and the lead finder
One credit finds one prospective business. Credits are consumed only for results actually returned. Lead data is provided to help your agency make contact with businesses that may want your services; you are responsible for using it lawfully — including screening against the Telephone Preference Service and Corporate Telephone Preference Service before cold-calling UK numbers, and complying with UK GDPR and PECR in any outreach you send.
Your data, and your clients' data
Everything you and your clients put into the platform belongs to you. We process it only to provide the service, as described in our privacy policy. You can ask us for a full export of your data at any time, and if you close your account we will delete it within 30 days, except where the law requires us to keep it.
You are responsible for what you upload and for having the right to upload it, and for keeping your sign-in credentials confidential.
Acceptable use
Don't use the platform to send spam, to break the law, to infringe anyone's rights, or to attempt to breach or overload the service. Don't resell access to the platform itself other than as the product is designed (your clients using your branded portal is the product working as intended). We may suspend accounts that put the service or other customers at risk, and will tell you why.
Service, changes and availability
We work to keep the service available and your data safe, and we take backups every fifteen minutes. The service is provided "as is": we do not promise uninterrupted availability, and we may improve or change features over time. If we ever discontinue the service, we will give you at least 60 days' notice and a full export of your data.
Liability
Nothing in these terms limits liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by negligence. Otherwise, our total liability to you in any 12-month period is capped at the amount you paid us in that period, and neither of us is liable to the other for indirect or consequential loss, including loss of profit or of business.
The boring but important bits
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If we make material changes to these terms we will email the account owner before they take effect; continuing to use the service after that is acceptance. If any part of these terms turns out to be unenforceable, the rest still stands.
